1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Renew Ninja ("we," "us" or "our"), concerning your access to and use of the Renew Ninja website (renewninja.com) as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Site and you must discontinue use immediately.

2. Services

Renew Ninja provides a service for monitoring domain names and SSL certificates and sending notifications before expiration dates ("Service"). The Service is provided on a subscription basis according to the pricing plans published on our Site.

3. Subscription and Payment

1. Subscription Plans: We offer various subscription plans with different features and limitations. The details of these plans are available on our pricing page.
2. Payment: All payments are processed securely through Stripe. By subscribing to our Service, you authorize us to charge your chosen payment method on a recurring basis according to your selected plan (monthly or yearly).
3. Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date.
4. Price Changes: We reserve the right to modify our pricing at any time. If we change pricing for your current subscription plan, we will notify you at least 30 days before the change takes effect.

4. Refund Policy

Renew Ninja has a strict no-refund policy. All payments made for subscriptions are final and non-refundable. By purchasing a subscription, you acknowledge and agree that:

1. We do not provide refunds for any reason, including but not limited to:
   • Accidental purchases
   • Dissatisfaction with the service
   • Unused subscription time
   • Technical issues beyond our control
   • Changes in your business needs
2. If you choose to cancel your subscription, you will continue to have access to the Service until the end of your current billing period, but no refund will be issued for the unused portion of your subscription.
3. This no-refund policy applies to all subscription plans, regardless of duration or price.

5. Cancellation

You may cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation:

2. No refunds will be provided for the remaining unused period of your subscription.
3. After the current billing period ends, you will lose access to the Service and all associated data.

6. User Responsibilities

By using our Service, you agree to:

1. Provide accurate and complete information about the domains and certificates you want to monitor.
2. Maintain the security of your account credentials.
3. Use the Service only for lawful purposes and in accordance with these Terms.
4. Not attempt to circumvent any limitations or restrictions placed on the Service.

7. Service Limitations and Disclaimer

While we strive to provide accurate and timely notifications, you acknowledge that:

1. The Service relies on information from third-party sources that may occasionally be inaccurate or unavailable.
2. Technical issues beyond our control may affect the delivery of notifications.
3. The Service is provided "as is" without any warranties, express or implied.
4. We do not guarantee that notifications will be delivered in time to prevent domain or certificate expiration.
5. You remain responsible for the renewal of your domains and certificates regardless of whether you received notifications from our Service.

8. Limitation of Liability

In no event will Renew Ninja, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

1. Your access to or use of or inability to access or use the Service;
2. Any failure or delay in the delivery of notifications;
3. The expiration of any domain or certificate, regardless of whether you received a notification from our Service;
4. Any conduct or content of any third party on the Service.

Our total liability to you for any claim arising from or relating to these Terms or our Service shall not exceed the amount paid by you to us during the 12 months preceding the claim.

9. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our Site prior to the changes becoming effective. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of those changes.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
